E&A Innovation Group consulting and coaching partnerships are rooted in trust and confidence. Confidentiality is essential to building the trust needed for an effective working relationship.

Consulting Clients

• E&A Innovation Group understands and acknowledges that our clients will be providing access to proprietary and valuable information that the consultant might otherwise not receive. The consultant will keep all information shared by the client confidential throughout this engagement. Furthermore, confidential information shall not be disclosed to any third party without the client's prior written consent. “Confidential Information” means any and all information and material that is marked as confidential is identified as confidential, or should reasonably be considered confidential based on the circumstances surrounding the disclosure and the nature of the information disclosed. The consultant agrees not to use the name of the association or its logo for any promotional or commercial purpose or any other purpose without the client's prior written consent.

• The client shall have all copyright and patent rights on all materials developed under this contract. The client and the consultant also agree that if the consultant invents or participates in creating modifications or improvements to existing technology while providing consulting services, the client reasonably seeks to secure such improvements for its use and practice.

• The consultant acknowledges that the client does not desire to acquire any trade secrets, know-how, confidential information, or other intellectual property that the consultant may have learned from or developed for any third party. The client agrees that while providing the services, the consultant will not be required to use or disclose any Third-Party IP, including without limitation, any intellectual property of (i) any former or current employer, (ii) any person for whom the consultant has performed or currently performs consulting services, or (iii) any other person to whom the Consultant has a legal obligation regarding the use or disclosure of such intellectual property.

Coaching Clients

• The coaching relationship and all information (documented or verbal) that the client shares with the coach as part of this relationship are 100% confidential and bound by the principles of confidentiality outlined in the International Coaching Federation (ICF) Code of Ethics. The coach agrees not to disclose any information about the client without the client's written consent.

• These coaching sessions may be recorded at the request of the client. The client and coach may use any session recording for their personal development. The coach will ask for the client’s written consent before sharing any of the confidential session recordings with a third party, coaching mentor, supervisor, or assessor.

Use License

Permission is granted to temporarily download one copy of the materials (information or software) on E&A Innovation Group's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• modify or copy the materials;

• use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
